These Terms of Service (the "Terms") govern your access to and use of any websites, platforms, software, services, events, conferences, subscriptions, coaching and consulting programs, training, communities, digital products, and staffing solutions offered by Goldbar Training LLC, including its brands and divisions Goldbar Staffing, Goldbar Coaching, Goldbar Live, Goldbar Community, and Goldy.AI ("Goldbar," "we," "us," or "our").
By accessing or using any Goldbar services, websites, or platforms — including www.goldbarcoaching.com, www.goldbarstaffing.com, www.goldbarlive.com, www.goldyai.com, goldy.ai, and any affiliated or successor platforms — you acknowledge that you have read, understood, and agreed to be bound by these Terms.
PLEASE CAREFULLY READ AND UNDERSTAND THESE TERMS BEFORE ACCESSING, USING, SUBSCRIBING TO, OR PLACING AN ORDER THROUGH ANY GOLDBAR WEBSITE, PLATFORM, EVENT, OR ONLINE RESOURCE. THESE TERMS CONTAIN DISCLAIMERS OF WARRANTIES AND LIMITATIONS OF LIABILITY, INCLUDING BINDING ARBITRATION AND CLASS ACTION WAIVER PROVISIONS THAT WAIVE YOUR RIGHT TO A COURT HEARING, YOUR RIGHT TO A JURY TRIAL, AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION (SEE SECTIONS 30, 34, AND 35). ARBITRATION IS MANDATORY AND IS THE EXCLUSIVE REMEDY FOR ANY AND ALL DISPUTES EXCEPT AS EXPRESSLY SPECIFIED BELOW.
By accessing or using our Services, you and your business agree to the terms set forth herein. If you do not agree, you are not authorized to use the Sites, Platform, Services, or events. THIS IS A BINDING AGREEMENT.
Plain-English summary (not part of the binding Terms): Goldbar Training LLC runs several brands — Goldbar Staffing (AI-trained executive assistants), Goldbar Coaching, Goldbar Live (events), Goldbar Community, and Goldy.AI (the Assistant Management Software platform). We work hard for you but do not guarantee business, financial, income, or real estate outcomes. Our liability is limited, we own our brand, systems, content, and platform, payments are non-refundable except as expressly stated, and you agree not to hire our assistants outside of Goldbar. Disputes are resolved by arbitration.
Goldbar Training LLC and/or its affiliates, brands, and divisions (collectively, "Goldbar") provide website features, software, content, events, staffing, coaching, and access to third-party products and services to you when you visit, shop at, subscribe to, register for, or use any Goldbar website, application, event, or platform. Goldbar provides these services subject to these Terms. If these Terms are inconsistent with specific service terms set out in a signed Client Services Agreement, Master Services Agreement, order form, statement of work, or other written agreement (each, a "Specific Agreement"), the Specific Agreement controls for that engagement, and these Terms fill any gaps.
Goldbar provides virtual and executive assistant staffing; coaching, consulting, and educational programs; live and virtual events; membership-based community platforms; online tools and software, including the Goldy.AI AMS platform; and digital products, courses, and templates. Goldbar may modify, add, or discontinue Services at any time.
The Services are intended for businesses operated by adults (18+). You are responsible for maintaining the confidentiality of your account credentials. You may not transfer, lend, or share your access to any third party. Goldbar reserves the right to suspend or terminate accounts for breach of these Terms.
Assistants are independent contractors engaged through Goldbar or its designated providers. Nothing in these Terms creates an employment, joint-employer, co-employment, partnership, agency, or fiduciary relationship between you and any assistant or between you and Goldbar. Goldbar is not a licensed professional service and does not provide legal, tax, brokerage, financial, medical, or other professional advice unless expressly agreed in a signed writing.
If you participate in any Goldbar community, forum, event chat, or membership platform, you agree not to harass, abuse, or defame other users; spam or solicit within groups; share confidential materials; or post unlawful content. We may remove or ban users for violations at our sole discretion, without refund.
You agree not to: use the Services for any unlawful or fraudulent purpose; copy, scrape, or reverse engineer the Services; resell or sublicense our Content, SOPs, or systems; upload malicious code; circumvent security measures; input regulated sensitive data without written authorization; send spam or recruit Goldbar assistants outside of Goldbar; or misuse AI-enabled features without human review of outputs. Violations may result in immediate termination without refund.
Clients engaging Goldbar Staffing agree to: not solicit or hire assistants outside of Goldbar (see Section 25); pay all invoices on time; not claim employer of record status (Goldbar does not act as employer of record unless expressly stated in writing); review and approve all assistant work and AI outputs before relying on them; and remain responsible for their own legal, regulatory, and compliance obligations.
All coaching materials and sessions are proprietary. Coaching does not guarantee specific outcomes or financial performance. Coaching access is personal and non-transferable unless otherwise agreed in writing.
Event tickets are non-refundable but may be transferable upon written approval. By attending, you grant Goldbar an irrevocable, perpetual license to use your name, voice, likeness, and statements for marketing purposes. Events may be rescheduled; Goldbar is not responsible for your travel or lodging costs.
Goldbar grants you a limited, revocable, non-exclusive license to access the Platform for your internal business purposes during your subscription term. AI-generated outputs may be incomplete or inaccurate — you are solely responsible for reviewing and approving them before relying on them. Platform availability is provided on a commercially reasonable basis; Goldbar does not guarantee uninterrupted access.
Any performance guarantee applies only if expressly offered in writing and is governed by the Performance Guarantee Addendum. It measures internal operational value (time saved, systems built, costs reduced) — not revenue, profit, or business outcomes. The sole remedy is continued assistant work at no additional charge until the stated threshold is met. No refunds or cash payments are provided. See our Performance Guarantee page for full terms.
Fees are billed in advance on a recurring 28-day cycle. Failure to use any Service does not relieve you of payment obligations. You authorize automatic, recurring payment collection until you cancel. To cancel, submit a request to info@goldbarstaffing.com at least ten (10) days before your next billing date.
Goldbar has no refund policy except as expressly stated in a Specific Agreement. All digital and online services are non-refundable once accessed. Goldbar reserves the right to immediately terminate an account for any unpaid period.
Overdue amounts may accrue interest at 1.5%/month. Goldbar may suspend Services or declare all unpaid amounts immediately due. Initiating a chargeback for properly owed amounts is a breach of these Terms. Fees are exclusive of taxes; you are responsible for all applicable taxes.
You are authorized to share all data and access you provide. You are responsible for obtaining any required consents (including for call recording and contact data). You are solely responsible for credential security — Goldbar is not liable for unauthorized access arising from credentials you share. You are responsible for your own legal, brokerage, advertising, fair housing, telemarketing, email, and privacy compliance.
You agree to protect Goldbar's confidential information (pricing, software, SOPs, training materials, playbooks, systems, assistant and candidate information) using at least reasonable care and not to disclose it. These obligations survive termination.
All Sites, Platform, Content, and Services are protected by U.S. and international intellectual property laws. The "Goldbar," "Goldbar Training," "Goldbar Staffing," "Goldbar Coaching," "Goldbar Live," "Goldbar Community," "Goldy.AI," "Goldy," and "AMS" names, logos, and marks are proprietary to Goldbar. Subject to compliance with these Terms, Goldbar grants you a limited, revocable, non-exclusive license to use the Sites and Platform for your internal business purposes only. No rights in Goldbar IP are transferred to you.
By providing testimonials, posts, or other content, you grant Goldbar a royalty-free, worldwide, perpetual, non-exclusive, irrevocable license to use them for marketing and promotional purposes. You may withdraw this permission by written request to info@goldbarstaffing.com; materials already published may remain in use.
Individual results vary. Goldbar does not guarantee your business's success, income, or sales. We do not make earnings claims or ROI guarantees. We do not sell a business opportunity or "get rich quick" program. See our Full Disclosure for more information.
THE SITES, PLATFORM, CONTENT, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOLDBAR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GOLDBAR DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
Goldbar assumes no responsibility for the content, functionality, or failures of any non-Goldbar website, software, or service. You are solely responsible for your use of any third-party software and hardware.
During your engagement and for twenty-four (24) months after it ends, you will not directly or indirectly solicit, recruit, hire, or engage any assistant, contractor, employee, candidate, or other personnel introduced to you by Goldbar, except through Goldbar. If you violate this section, you agree to pay Goldbar a fee equal to the greater of (a) $25,000 or (b) twelve (12) months of service fees for the affected placement. Goldbar may also seek injunctive relief and recover enforcement costs and attorneys' fees.
You agree to defend, indemnify, and hold harmless Goldbar and its officers, directors, employees, and agents from any claims arising out of your use of the Services, information you submit, your breach of these Terms, your violation of any law, or your use of any assistant work product or AI output.
IN NO EVENT SHALL GOLDBAR BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR LOST REVENUE. GOLDBAR'S TOTAL CUMULATIVE LIABILITY WILL NOT EXCEED THE AMOUNTS YOU ACTUALLY PAID TO GOLDBAR FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT.
Goldbar may suspend or terminate your access with or without notice if you misuse the Services, violate these Terms, fail to pay, or create legal, reputational, or security risk. Fees already paid are non-refundable except as expressly stated. Sections on IP, confidentiality, non-solicitation, payment, disclaimers, limitation of liability, indemnification, and arbitration survive termination.
This Agreement is governed by the laws of the State of Florida. Any disputes not subject to arbitration shall be brought exclusively in the state or federal courts located in Florida.
YOU AND YOUR BUSINESS AGREE THAT ANY CLAIM MUST BE RESOLVED THROUGH FINAL AND BINDING CONFIDENTIAL ARBITRATION. YOU ACKNOWLEDGE THAT YOU ARE WAIVING THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION.
Any dispute that cannot be resolved informally within 120 days shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, in the State of Florida. All claims must be brought within one (1) year after the claim arises.
